Apache - Parent: child process exited with status 3221225477

When I try to run the install Apache dies. The apache error log indicates Parent: child process exited with status 3221225477 -- Restarting

I tried doing a menual install and then when I try to run firstLogin.php the same behavior occurs.

My configuration is Windows XP with the latest patches, Apache 2.2, MySql 5.1.

Please help me out.
